Except that doesn't hold up in court, particularly if that company didn't at some point agree to the TOS. They could have just read it as they were browsing the site, which isn't an implicit agreement.

Copyright law doesn't protect slogans or phrases, and unless you've registered a trademark it's fair game. They are doing nothing wrong by selling those shirts.
