The case for fair use is shaky, but it’s there. The case for parody is much stronger. Fox’s lawyers would probably argue both, if pressed.

My guess is that Fox could claim fair use / parody for their use of the YouTube video. Of course I don’t think the powers that be at Fox recognize a fair use / parody right, except when it’s protecting them.
