I would say be careful in the "this place would fall apart without them" role. Being that vital in your position is another way to get passed up for promotions. If you are so good that they are afraid no one could replace you then they might just keep you there. Sometimes being good can be a curse too. 

I would add that this person needs an honest appraisal of themself. They need to look within or find someone they trust. Maybe the company was wrong when they kept passing them over, or maybe they saw something that made them second guess this person’s management ability.
