This one is complicated and I don’t feel like pulling the exact citations to confirm, but I believe you have to hold it for 2 years after the offering date and 1 year after the exercise date to get favorable capital gains tax treatment. Either one can disqualify you, so you have to meet both hurdles.

One other item to note: your ESPP may have a trade restriction period where you are not allowed to sell the stock, so remember the cutoff times if you plan to sell any!

I haven’t dealt with this in a long time (and nobody please quote me on this), but I’m pretty sure the timing of which you sell your ESPP stock also has some impact on how much you are taxed.
