FF and X-men is the more likely team-up to happen. If Sony doesn't want to play ball with Marvel they certainly wont play ball with Fox.

I agree the Spidey films look better. Avengers looks like a high-budget tv film. The new Captain had a nice clean polished look to it though, so maybe Avengers 2 will have a more updated style to it.

Issues outside of the movie? They rebooted it because Spider-man 3 was a total flop, Marvel was building to Avengers and making money, and Sony wanted to get back in while the gettin' was good and still maintain their license over Spider-man.
