That dark knight is HARD. I bought a rapier from the merchant back near the bonfire and found that piercing weapons hurt him more than anything else I've tried. Still haven't beaten him, but I'm close.

I was having a rough time as well until I remembered to use all the souls I had looted along the way. Each large soul game me something like 400 souls and I was able to level up a few times. Undead Burg became a little bit easier after that.
