Agreed...it is way to high and for no good reason as very little revenue is raised from the corporate income tax. But to be correct the corporate rate is 35%. State taxes usually add 3-4% on top of that depending on where the company is located.

That's not true. Even if BK purchased Tim Horton's, that would not change the tax or legal residence of Tim Horton's. The move to Canada is certainly U.S. tax motivated.

Worldwide taxation is not the problem (you omit to mention that the U.S. also provides a foreign tax credit). It is the (very) high U.S. corporate tax rate which is out of whack with other jurisdictions leading to incremental U.S. taxes when earnings are repatriated back.
